LoopHQ Terms of Service

1. These terms
These terms are an agreement between you and Quote Loop Pty Ltd (ABN 67 698 147 205), referred to as "we", "us" and "our".
They apply when you create a LoopHQ account, subscribe, or use the service. If you are agreeing on behalf of a business, you confirm you have authority to bind that business, and "you" means that business.
If you do not agree to these terms, do not use LoopHQ.
2. What LoopHQ is
LoopHQ is a web-based operations tool for trade businesses. It helps you manage clients, jobs, quotes, invoices, crew and schedules, and includes automated features that generate suggestions for you to review.
LoopHQ is a tool. It does not make decisions for you, and it is not a substitute for your own judgement, your own compliance obligations, or professional advice.
3. Your account
- You must provide accurate information and keep it current
- You are responsible for everything done under your account, including by your team
- You control who has access to your business's data in LoopHQ and what they can do. Assigning permissions is your responsibility
- You must keep login credentials secure and tell us promptly if you suspect unauthorised access
- You must be at least 18 and using LoopHQ for business purposes
Your LoopHQ login may also work with other products we operate. Access to LoopHQ specifically requires an active LoopHQ subscription.
4. Subscription and payment
Fee. LoopHQ costs A$249 per month, including GST.
Billing. Your subscription renews automatically each month until cancelled. Payment is processed by Stripe. By subscribing you authorise us to charge your nominated payment method each month.
Price changes. We may change the price. We will give you at least 30 days notice by email before a change applies to you. If you do not accept the new price, cancel before it takes effect.
Cancellation. You can cancel at any time. Cancellation takes effect at the end of your current billing period, and you keep access until then.
Refunds. We do not offer refunds for partial months. This does not limit your rights under the Australian Consumer Law (see section 11).
Non-payment. If payment fails we may suspend access after notifying you. Your data is retained during suspension as described in our Privacy Policy.
5. Your data
You own your data. All information you enter into LoopHQ — your clients, jobs, quotes, invoices, crew records and everything else — remains yours.
What we may do with it. You grant us a licence to store, process, transmit and display your data only as needed to provide the service to you, to support you, and to keep the system secure and working. We do not use it for any other purpose.
We do not use your data to train AI models, and we do not permit our AI provider to do so.
Data about other people. Much of what you put into LoopHQ is personal information about people who have no relationship with us: your clients and your employees. You are responsible for:
- Having the right to collect and use that information
- Telling those people how their information is handled, where required
- Responding to their requests about their own information
We hold that information on your behalf and act on your instructions in relation to it.
Export and deletion. You can request an export of your data, or its deletion, at any time. Our Privacy Policy sets out how, and full instructions are at loophq.au/deletion.
6. Automated features
This section is important. Please read it.
LoopHQ includes automated features that use artificial intelligence to generate suggestions. These currently include suggesting which crew to assign to a job, proposing the order of a worker's day to reduce driving, and drafting messages to your clients.
6.1 How they work
Every automated feature follows the same pattern: it gathers information from your records, generates a suggestion, and holds it for you to review. Nothing is written to your records or sent to anyone outside your business until a person with the appropriate permission approves it. You can edit any suggestion before approving it, or reject it entirely.
6.2 Suggestions are drafts, not advice
Suggestions are generated automatically and can be wrong, incomplete or unsuitable. They are a starting point for your judgement, not a replacement for it. You are responsible for reviewing anything before you approve it.
6.3 Licence, certification and safety warnings
LoopHQ can flag when a crew member assigned to a job does not hold a licence or certification that the job record says is required.
These flags are advisory prompts based only on the information you have entered. They are not a compliance check, a safety check, or a legal check.
Specifically:
- A flag appears only if you have recorded the requirement on the job and the licence on the worker. If either record is missing or wrong, no flag will appear
- The absence of a flag does not mean a worker is qualified, licensed, or permitted to do the work
- LoopHQ does not verify licences against any register and has no knowledge of whether a licence is current, suspended, or appropriate
- LoopHQ never prevents you from assigning anyone. You can always override a flag, and doing so is recorded
You remain solely responsible for ensuring that the people you assign to work are appropriately licensed, qualified, insured and permitted to perform it, and for meeting all work health and safety obligations. Nothing LoopHQ produces reduces those obligations.
6.4 Travel times, routes and schedules
Driving times, distances and route sequences are estimates produced from third-party mapping data under typical conditions. They do not account for traffic on the day, roadworks, weather, vehicle type or load. Do not rely on them for anything time-critical or safety-critical.
Scheduling suggestions may produce a working day that is impractical or that extends beyond normal hours. LoopHQ flags some of these but does not prevent them. Reviewing whether a schedule is workable and lawful, including hours of work and fatigue obligations, is your responsibility.
6.5 Messages to your clients
LoopHQ can draft messages to your clients, including payment reminders, and send them once you approve.
- You are the sender. Messages go out under your business name with your reply-to address
- You are responsible for the content of anything you approve, including anything we drafted
- You are responsible for having the right to contact the recipient and for complying with the Spam Act 2003 (Cth) and any other applicable law
- Review before you approve. Once sent, a message cannot be recalled
6.6 Costs, quotes and financial figures
Any cost, estimate, margin or profitability figure LoopHQ produces is calculated from the information you have entered and may be incomplete or wrong. It is not financial, accounting or tax advice. Check figures before relying on them, and before quoting a price to a client.
6.7 Availability and limits
Automated features may be unavailable, delayed, or limited by usage allowances. We may change how they work, or withdraw a feature, on reasonable notice.
7. Acceptable use
You must not:
- Use LoopHQ for anything unlawful, or to send messages you have no right to send
- Attempt to access data belonging to another business
- Reverse engineer, copy or resell the service
- Interfere with the service or place unreasonable load on it
- Use automated means to extract data other than through features we provide
- Upload malicious code, or content you have no right to upload
We may suspend or terminate your account for a serious or repeated breach.
8. Third-party services
LoopHQ relies on third-party services, and can connect to services you choose to authorise, such as a Facebook Page.
- We are not responsible for third-party services, their availability, or their handling of data once it reaches them
- Where you connect a service, your relationship with that provider is governed by their terms
- If a third-party service becomes unavailable or changes, features that depend on it may stop working
9. Availability
We aim to keep LoopHQ available but we do not guarantee uninterrupted access. The service may be unavailable for maintenance, upgrades, or reasons outside our control. We do not currently offer a service level agreement or uptime commitment.
10. Intellectual property
LoopHQ, including its software, design and documentation, is owned by Onrix Holdings Pty Ltd and licensed to Quote Loop Pty Ltd. Nothing in these terms transfers any intellectual property to you.
Your subscription grants a non-exclusive, non-transferable right to use LoopHQ for your business while your subscription is active.
Feedback you give us may be used freely and without obligation.
11. Australian Consumer Law
Nothing in these terms excludes, restricts or modifies any guarantee, right or remedy you have under the Australian Consumer Law that cannot lawfully be excluded.
Where we are permitted to limit liability for a breach of a consumer guarantee, our liability is limited, at our option, to resupplying the service or paying the cost of having it resupplied.
12. Liability
Subject to section 11:
- We provide LoopHQ "as is" and exclude all warranties not expressly given
- We are not liable for indirect or consequential loss, loss of profit, loss of business, loss of data, or loss arising from your reliance on any suggestion LoopHQ generated
- Our total liability in any 12-month period is limited to the fees you paid us in that period
13. Indemnity
You indemnify us against claims arising from:
- Your use of LoopHQ in breach of these terms or the law
- Data you put into LoopHQ, including personal information about others
- Messages sent from your account
- Decisions you made, including decisions informed by LoopHQ suggestions
14. Confidentiality
Each party will keep the other's confidential information confidential and use it only for the purposes of these terms. This does not apply to information that is public, independently known, or required to be disclosed by law.
15. Suspension and termination
By you: cancel at any time under section 4.
By us: we may suspend or terminate your access if you breach these terms, if payment fails, or if we are required to by law. Except in serious cases we will give notice and a reasonable chance to fix the problem.
On termination: your access ends, and we handle your data as set out in our Privacy Policy. Sections that by nature survive, including data ownership, liability, indemnity and confidentiality, continue.
If we discontinue LoopHQ: we will give at least 60 days notice, allow you to export your data, and refund any prepaid fees for the unused period.
16. Changes to these terms
We may change these terms. For material changes we will give at least 30 days notice by email or in the application. Continuing to use LoopHQ after a change takes effect means you accept it. If you do not accept, cancel before it takes effect.
17. General
- Governing law: Queensland, Australia. Both parties submit to the courts of Queensland
- Entire agreement: these terms and the Privacy Policy are the whole agreement between us about LoopHQ
- Severability: if a provision is unenforceable, the rest continues
- Assignment: you may not assign these terms without our consent. We may assign them to a related company or an acquirer of the business
- No waiver: not enforcing a term does not waive it
